BOARD BY-LAWS
The Board of Directors is the governing body of Star Foundation and is limited to a maximum of seven members. The Board shall be advised of the decisions made concerning the affairs of the Foundation with respect to fundraising, budgetary and policy issues to ensure that all federal, state and local laws are observed and enforced.
Only Board members may vote in meetings on Star Foundation issues and procedures in accordance with the Star Foundation By-Laws. Monetary compensation will not be received by any member of the Board of Directors. Members of the Board of Directors serve for a three year term. The Chairman of the Board can represent the nonprofit in meetings with the approval and written consent of the Founder, CEO.
Executive Committee
The Executive Committee consists of Chairperson, Vice-Chairperson, Secretary, Treasurer and Parliamentarian. Committee members are elected by the members of the Board of Directors.
The Executive Committee has authority to act on behalf of Board of Directors. Committee secretary is also the Executive Assistant to the President/CEO. The Vice-Chairman serves as the Chairman of the Executive Steering Committee. The Parliamentarian serves as the Chairman of the Community Relations Advisory Committee.
